Terms of Service

These Terms of Service govern your access to and use of DuctDraft AI, including our website, software, conversion tools, downloads, and related services. By using DuctDraft AI, you agree to these Terms.

1. About DuctDraft AI

DuctDraft AI provides HVAC drawing conversion and quantity takeoff tools, including support for rectangular duct, round duct, and chilled water pipe workflows. The service is intended to assist drafting, estimating, and takeoff workflows.

2. Professional Responsibility

DuctDraft AI is a software assistance tool. It does not replace professional judgment, engineering review, code compliance review, site verification, or approval by a licensed professional where required.

You are responsible for reviewing and verifying all converted drawings, quantities, calculations, schedules, outputs, and exported files before using them for bidding, fabrication, installation, submission, or construction.

3. Accounts

You may need an account to use certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate account information and keep it up to date.

4. Subscriptions, Plans, and Usage Limits

DuctDraft AI may offer free trials, individual module plans, and all-access plans. Each plan may include monthly conversion limits, module access rules, and feature restrictions.

• Individual module plans include usage for that specific module only.
• All Access plans may include shared usage across multiple modules.
• Unused monthly conversions do not roll over unless we state otherwise in writing.
• Batch conversion may be limited to certain plans.
• We may change plan features or pricing for future billing periods.

5. Payments and Billing

Payments are processed by Stripe. By purchasing a paid plan, you authorize recurring billing according to the plan you selected. You are responsible for all applicable taxes, fees, and charges.

6. Cancellations

You may cancel a subscription through the billing flow we provide or by contacting us. If a subscription is cancelled immediately, access to the related module may end immediately. If cancellation is scheduled for the end of the billing period, access may continue until the period ends.

7. Refunds

Payments are generally non-refundable unless required by law or approved by us in writing. Because DuctDraft AI provides digital software access and conversion services, completed billing periods and used conversions may not be refunded.

8. Uploaded Files and User Content

You retain ownership of files, drawings, and data that you upload. By uploading content, you grant DuctDraft AI permission to store, process, convert, analyze, and generate outputs from that content for the purpose of providing the service.

You must not upload files that you do not have permission to use, or files that contain unlawful, confidential, restricted, malicious, or harmful material.

9. Our Intellectual Property

DuctDraft AI, including its software, backend conversion logic, user interface, workflows, documentation, branding, designs, and related technology, is owned by us or our licensors. You may not copy, reverse engineer, resell, modify, scrape, or attempt to extract the source code or underlying logic of the service.

10. Acceptable Use

You agree not to:

• Use the service for illegal, harmful, fraudulent, or abusive activity.
• Attempt to bypass subscription limits, access controls, or security systems.
• Upload malware, corrupted files, or files designed to disrupt the service.
• Reverse engineer, copy, or clone the service.
• Use automated tools to overload, scrape, or attack the service.
• Share your account with unauthorized users.

11. Output Accuracy

DuctDraft AI attempts to generate useful conversion and quantity takeoff outputs, but we do not guarantee that outputs will be complete, error-free, code-compliant, suitable for fabrication, or suitable for construction. Drawing quality, layer naming, symbols, scaling, leaders, annotations, and source file structure can affect output.

12. Service Availability

We may update, suspend, limit, or discontinue parts of the service at any time. We are not responsible for delays or failures caused by third-party providers, internet issues, hosting outages, payment processor issues, or uploaded file problems.

13. Termination

We may suspend or terminate access if you violate these Terms, misuse the service, fail to pay, attempt unauthorized access, or create risk for the service or other users.

14. Limitation of Liability

To the maximum extent permitted by law, DuctDraft AI will not be liable for indirect, incidental, special, consequential, or lost-profit damages, including losses related to bidding errors, construction errors, project delays, rejected submissions, data loss, or reliance on unverified outputs.

15. Disclaimer

The service is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted availability, and non-infringement to the maximum extent permitted by law.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of DuctDraft AI after changes are posted means you accept the updated Terms.
